3. Eligibility and Authority

By using our Services, you confirm that:

7. AI Workforce Implementation Disclaimers

Where we provide AI workforce implementation, advisory, or managed automation services:

• AI systems are assistive tools and do not replace management, legal review, or professional judgment.
• AI outputs may contain errors, hallucinations, incomplete analysis, or outdated information.
• Clients must perform human review and approve all business-critical outputs before use.
• Clients are solely responsible for decisions made from AI-generated recommendations.
• No guarantee is made for specific ROI, lead volume, conversion rates, or productivity outcomes unless expressly contracted.

8. Data Governance and Compliance

• Clients are responsible for lawful data collection, processing permissions, and data accuracy.
• Clients must ensure internal and sector-specific compliance obligations are met.
• Clients must implement appropriate access controls, retention settings, and user governance in their own systems.

Ivy Digitals may provide implementation guidance, but legal compliance remains the client's responsibility.

9. Third-Party Tools and Marketplace Vendors

Our Services may depend on third-party platforms, AI models, APIs, hosting providers, payment gateways, and independent vendors. Ivy Digitals does not guarantee uninterrupted availability, compatibility, or policy stability of third-party offerings and is not liable for third-party failures or changes outside our control.

10. Intellectual Property

• Ivy Digitals retains ownership of its brand assets, frameworks, templates, and proprietary implementation methods.
• Clients retain ownership of their pre-existing content and data.
• Third-party vendors retain ownership of their products and intellectual property.

Any licence rights granted are limited to the scope of the purchased service or product.

11. Acceptable Use

You must not use our Services to:

• Conduct unlawful, deceptive, or fraudulent activity.
• Deploy harmful software, malware, or abusive automation.
• Infringe intellectual property or confidentiality rights.
• Generate discriminatory, defamatory, or illegal content.

12. Limitation of Liability

To the fullest extent permitted by law, Ivy Digitals will not be liable for indirect, incidental, consequential, punitive, or special damages, including lost profits, lost business opportunities, data loss, or interruption arising from use of the Services. Our aggregate liability for any claim is limited to the amount paid directly to Ivy Digitals for the specific service giving rise to the claim.

13. Indemnity

You agree to indemnify and hold Ivy Digitals harmless from claims, liabilities, costs, or losses arising from your misuse of Services, breach of these Terms, unlawful use of AI outputs, or violation of third-party rights.

14. Suspension and Termination

We may suspend or terminate Services immediately where there is non-payment, suspected misuse, legal risk, security risk, or breach of contract. Termination does not create refund entitlement for delivered work or activated services.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of the United Arab Emirates. Any dispute shall be subject to the competent courts of the UAE, unless otherwise agreed in writing.
